IMPORTANT NOTICE: BY ACCESSING OR USING COVERTHEGAPS.COM (“SERVICE”), YOU AGREE TO THESE TERMS, INCLUDING A MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER FOR U.S. USERS (SEE SECTION 14). IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Acceptance of Terms

These Terms of Use (“Terms”) form a binding agreement between you and CoverTheGaps.com (“we,” “us,” “our”). We may update these Terms from time to time. Material changes will be posted with a revised Effective Date. Your continued use constitutes acceptance of the updated Terms.

2. Eligibility; Accounts

  • You must be at least 13 years old (or the minimum age required by applicable law in your jurisdiction). If you are under 18 (or age of majority), you must have parental/guardian consent.
  • You agree to provide accurate information, keep your credentials secure, and are responsible for all activities under your account.
  • Organization/School accounts: the entity represents it has the authority to bind itself and its users to these Terms.

3. Public Profiles and Directories

Certain profile fields (e.g., name, display name, username, avatar, role, class affiliation) may be visible to other users or publicly accessible, including via search engines, directories, teacher rosters, and community features, as described in our Privacy Policy. By creating a profile or uploading information, you acknowledge and consent to such displays and indexing to the extent permitted by law and by your settings. Do not upload information you do not wish to be public.

4. License and Access; Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial, lawful purposes. You agree not to:

  • violate any law or third-party rights;
  • submit or post unlawful, defamatory, infringing, obscene, harmful, or deceptive content;
  • harass, abuse, or harm others, or promote discrimination or violence;
  • scrape, crawl, harvest data, or use bots without our prior written consent;
  • bypass or interfere with security or access controls; reverse engineer any non-open-source components except as permitted by law;
  • upload malware, attempt unauthorized access, or disrupt the Service;
  • collect or process personal data from the Service except as permitted by these Terms and applicable law;
  • misrepresent your identity, qualifications, or affiliations;
  • use the Service to cheat on exams or assignments or to violate academic integrity policies.

5. User Content; License; Moderation

You retain ownership of content you submit (“User Content”). You grant us a worldwide, non-exclusive, perpetual, irrevocable, sublicensable, royalty-free license to host, use, reproduce, modify, adapt, translate, publish, perform, display, distribute, create derivative works from, and otherwise exploit your User Content in connection with operating, improving, and promoting the Service.

You represent you have all rights necessary to grant this license and that your User Content complies with these Terms and the law. We may remove or disable any content or suspend accounts at our discretion, including to comply with legal obligations or protect users.

Feedback. If you provide suggestions or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or attribution.

6. Educational Content; No Professional Advice

Content on the Service is for informational and educational purposes only and is not professional advice (legal, medical, financial, etc.). You rely on such content at your own risk.

7. Third-Party Services and Links

The Service may integrate or link to third-party services. We do not control and are not responsible for third-party services. Your use is governed by their terms and policies.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, disclose, and share information, including public display of certain profile fields. To the extent allowed by law, the Privacy Policy is incorporated into these Terms.

9. DMCA/Notice of Infringement

11. Termination and Suspension

We may suspend or terminate your access at any time for any or no reason, including violations of these Terms. Upon termination, Sections that by their nature should survive (e.g., licenses, disclaimers, limitations of liability, arbitration) will survive.

12. Indemnification

You agree to defend, indemnify, and hold harmless CoverTheGaps.com and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your interactions with other users.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) USD $100.

Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted by law.

15. User Disputes; Release

You are solely responsible for your interactions with other users. To the extent permitted by law, you release us from claims, demands, and damages arising out of or related to disputes with other users.

16. Governing Law; Arbitration; Class Action Waiver (U.S. Users)

Governing Law. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, except where mandatory local law applies.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by [JAMS/AAA] under its rules. Arbitration will take place in [Los Angeles County, California], in English, before a single arbitrator. Either party may bring an individual claim in small claims court.

Class Action Waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Non-U.S. users: If mandatory law in your country grants you the right to bring claims in local courts, this Section does not deprive you of those rights.

17. International Users

We operate from the United States. You are responsible for compliance with local laws. To the extent mandatory consumer rights apply in your jurisdiction (e.g., EEA/UK), nothing in these Terms deprives you of such rights. We do not exclude or limit liability that cannot be excluded by law (e.g., for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).

19. Assignment; Severability; Waiver; Entire Agreement
